01Agreeing to these terms
These terms are an agreement between you and PandaCat Labs (“PandaCat Labs”, “we”, “us”). They cover our website at pandacatlabs.com, our applications, and any product or service we offer that links to them (together, the “service”). By signing up for or using the service you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the service.
A particular product may come with extra terms of its own. Where those differ from these, the extra terms win for that product, and these terms cover everything else.
02What the service is
We make software. Depending on the product, it may run on computers we manage, in your browser, or on your own device; it may take things you give it and produce something back; and some features use artificial intelligence to do that. We'll describe what a product does where we offer it.
The service is software, not a person. It is not a lawyer, doctor, financial adviser or other licensed professional, and nothing it tells you or produces for you is professional advice.
03Who can use it
You must be at least 18 years old and able to form a binding contract. If you use the service on behalf of a business, you confirm you're allowed to accept these terms for that business.
04Your accounts and logins
Keep your account and your devices secure. Anyone who can reach the service as you can do things as you.
Where a feature needs to sign in to another website or service as you — an email account, a calendar, a booking site — or to create an account for you:
- you confirm you're allowed to share that access and to have it used on your behalf, including under that website's own rules;
- you authorise us to use it to carry out the tasks you ask for, and for nothing else;
- you can take it back at any time by telling us or by changing the password. We'll delete our copy when you ask, or when your access ends.
Some websites don't allow automated use, or limit it. If a site blocks, suspends or closes an account because of automated use, that is between you and that site; we'll stop using it for you as soon as we know.
05The service acting for you
Where the service does something for you at your request — sending a message, filling in a form, uploading a file, making a booking — it does it on your behalf, and you're responsible for it as if you'd done it yourself.
The service is built to stop and ask you before it does anything that spends money, can't easily be undone, or makes a commitment in your name. When it asks, read what it's asking. A “yes” from you counts as your go-ahead.
AI makes mistakes. Where a feature uses it, the service can misunderstand you, misread a source, get a fact wrong, or state something confidently that isn't true, and what it produces may not be accurate or fit for what you need. Check anything important before you rely on it — dates, prices, amounts, and anything to do with health, money or the law.
06Things you can't do
You agree not to use the service to:
- break any law, or help anyone else break one;
- harass, threaten, stalk, impersonate or deceive anyone;
- get into accounts, systems or data you're not authorised to use;
- send spam, run scams, or buy, sell or manipulate reviews, votes or ratings;
- make, find or share sexual content involving minors, or content that exploits anyone;
- upload or produce anything that infringes someone's copyright, trademark, privacy, likeness or other rights, or that you don't have the rights to give us;
- build weapons, malware, or anything meant to cause serious harm;
- resell the service, share your access with others, or try to get around usage limits; or
- probe, copy or interfere with the service or the systems it runs on.
The service may decline a request it thinks falls into these, and we may pause or end your access if we believe you're misusing it.
07Plans, limits and billing
Free access. Where we offer the service free, places may be limited, released in batches, and subject to a usage limit. We may change what's included, or end free access, at any time — we'll tell you first.
Paid plans. Where we charge, the price, the billing period and what's included are the ones shown when you sign up, plus any taxes that apply. Paid plans are billed in advance through our payment provider and renew automatically until you cancel. By subscribing you authorise us to charge your payment method each period.
Usage limits. A plan may come with a usage limit. When you reach it the service pauses and lets you know, rather than running up charges you didn't agree to. The limit resets at the start of your next billing period.
Cancelling. Email hello@pandacatlabs.com, or cancel in the service where that's offered. You keep access until the end of the period you've paid for, and you won't be charged again. We don't give refunds for part of a period, except where the law says we must — but if something went wrong, write to us and we'll look at it.
Price changes. If we change the price of a plan, we'll tell you at least 30 days before it applies to you, so you can cancel first.
08Your stuff
What you send us — messages, pictures, documents, recordings — and what the service produces for you stays yours. You give us permission to store, process and send it only as needed to provide the service to you, as described in our Privacy Policy. We don't sell it, and we don't use it to train AI systems.
The service itself — the software, the PandaCat Labs name and panda, our product names, and this website — belongs to us. These terms don't give you any rights to them beyond using the service.
If you send us ideas or feedback, we can use them without owing you anything.
09Other companies' services
The service works in part through services run by other companies — hosting, payment processing, the AI providers behind some features, and any service a feature connects to or visits for you. Those companies have their own terms, which apply to you when you use them. We aren't responsible for their services, and if one of them changes, goes down, or stops working with us, parts of our service may stop working too.
10Ending the service
You can stop using the service at any time and ask us to delete your data.
We can pause or end your access if you break these terms, if we have to for legal reasons, or if continuing would put you, other people or us at risk. Where we reasonably can, we'll warn you first. We may also stop offering a product altogether; if we do, we'll give you at least 30 days' notice and refund any paid time you haven't used.
When your access ends, the service stops working for you and we delete your data as described in the Privacy Policy. Sections 8, 11, 12, 13 and 14 continue to apply.
11No guarantees
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICE WILL BE ACCURATE, COMPLETE, UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TASK OR RESULT WILL SUCCEED OR MEET YOUR NEEDS.
12Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, PANDACAT LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR OPPORTUNITIES, ARISING FROM THE SERVICE OR FROM ANYTHING IT DOES OR FAILS TO DO. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $50.
Some places don't allow some of these limits, so they may not all apply to you. Nothing in these terms limits liability that can't be limited by law.
13If you get us into trouble
If someone brings a claim against us because of how you used the service — for example something you asked it to do, content you gave it that you didn't have the rights to, or a login you weren't allowed to share — you agree to cover our reasonable costs of dealing with it, to the extent the law allows.
14Disputes and governing law
If you have a problem, please email us first — most things get sorted out quickly that way. These terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute that we can't settle informally will be heard in the state or federal courts located in California, and you and we both agree to that jurisdiction. Either of us may instead bring a claim in small-claims court if it qualifies.
15Changes to these terms
We may update these terms as the service changes. We'll change the date at the top, and if a change matters, we'll tell you by email or in the service before it applies. If you keep using the service after that, you're agreeing to the new terms. If these terms are ever found partly unenforceable, the rest still applies. These terms, together with the Privacy Policy, are the whole agreement between us about the service.
